Introduction

Welcome to TatbiQ, an AI-powered platform by Solutions21 FZCO, designed to help users build websites, portals, and applications through natural-language interaction. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Solutions21 FZCO, Dubai, United Arab Emirates ("TatbiQ", "we", "our", or "us") and govern your access to and use of TatbiQ's website, platform, and related services ("Services"). By accessing or using the Services, you agree to be bound by these Terms, our Privacy Policy which is incorporated by reference, and to comply with all applicable local, national, and international laws and regulations. If you do not agree to these Terms, you must discontinue use of the Services. TatbiQ may modify these Terms from time to time. The latest version will always be available at TatbiQ.ai/terms. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.

These Terms are governed by and shall be interpreted in accordance with the laws and regulations of the United Arab Emirates and, where applicable, the rules of the Emirate of Dubai.

Disclaimer and Relationship: TatbiQ provides the Services on an "as-is" and "as-available" basis and makes no warranties or representations of any kind, whether express or implied, including without limitation any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, or reliability. To the maximum extent permitted by UAE law, TatbiQ disclaims all such warranties. Nothing in these Terms creates any agency, partnership, employment, or joint-venture relationship between you and TatbiQ, and no party is authorized to bind the other in any manner.

Eligibility and Accounts

TatbiQ reserves the right, in its sole discretion, to verify the identity, eligibility, or authenticity of any user or organization before granting or continuing access to the Services. TatbiQ may refuse, suspend, or revoke access where verification is incomplete, inaccurate, or raises security or compliance concerns.

You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. Notify us immediately at support@TatbiQ.ai if you suspect unauthorized access or misuse of your account. TatbiQ may monitor account activity to detect fraudulent or unauthorized use. If any misuse or suspected breach occurs, TatbiQ may disable or lock the account while investigations are ongoing. You acknowledge that TatbiQ may retain related account data, logs, and communications as evidence for internal review or legal compliance.

TatbiQ reserves the right to suspend, restrict, or terminate any account at its discretion if the user violates these Terms, applicable law, or security protocols, or if required by competent authorities. In such cases, TatbiQ may retain user information and related records for a reasonable period as required to comply with legal, tax, or regulatory obligations under the laws of the United Arab Emirates.

Student and Minor Users

TatbiQ's platform is accessible to students and young learners for educational purposes. TatbiQ processes personal data of minors strictly in accordance with Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL) and its Executive Regulations. TatbiQ relies on verified parental or institutional consent for the creation and management of student accounts and shall not be liable for any failure by a parent, guardian, or educational institution to obtain or maintain valid consent as required by applicable law.

Minimum Age: Children under 13 require verifiable parental or institutional (school) consent before creating an account.
Parental Rights: Parents or guardians may review, correct, or delete their child's data by contacting support@TatbiQ.ai.
Educational Accounts: When used in school or university settings, responsibility for obtaining required consent rests with the educational institution. Educational institutions using TatbiQ confirm that they have obtained all necessary parental or guardian consents and that they act as the data controller for student information under the PDPL. TatbiQ's role in such cases is limited to that of a data processor, providing hosting and technical functionality on behalf of the institution.
Restricted Features: Payment and public publishing functions are disabled by default on student accounts.

TatbiQ implements technical safeguards to restrict access to age-inappropriate content and to protect student accounts from unauthorized use. TatbiQ reserves the right to suspend or delete any student account if parental or institutional consent cannot be verified or where required by UAE law or education authorities.

Description of Services

TatbiQ provides an AI-powered development environment that enables users to create applications, portals, and websites through chat-based interaction.

Features and capabilities may vary by subscription plan and may change over time. TatbiQ may, at its sole discretion, add, modify, suspend, or discontinue any feature, functionality, or component of the Services at any time without liability to you. Access to specific tools or integrations may depend on technical availability, regulatory restrictions, or third-party service continuity. TatbiQ does not warrant uninterrupted or error-free operation of the Services and shall not be liable for any temporary unavailability or performance degradation.

TatbiQ's Services may integrate with third-party providers (e.g., payment processors, hosting services, analytics tools, or AI model APIs). We are not responsible for their performance or policies. Your use of such integrations is governed by their respective terms. You acknowledge that certain functionalities of TatbiQ depend on the performance and availability of third-party systems, including hosting infrastructure, AI model providers, and payment gateways. TatbiQ does not control these external systems and disclaims all responsibility for failures, delays, or changes in their operation. Any suspension or limitation caused by such third-party providers shall not constitute a breach of these Terms.

Unless expressly stated in a written agreement signed by TatbiQ, the Services are provided for general commercial and educational use only and do not include bespoke development, custom hosting, or guaranteed delivery timelines.

Acceptable Use

You agree to use TatbiQ only for lawful and ethical purposes. TatbiQ reserves the right to monitor usage patterns, content uploads, and account activity for security, compliance, and fraud-prevention purposes. Where TatbiQ reasonably suspects a breach of these Terms or applicable law, it may suspend or restrict access pending investigation. TatbiQ may also report unlawful conduct, including cyber-offences, to competent authorities within the United Arab Emirates or other relevant jurisdictions. Without limitation, you must comply at all times with Federal Decree-Law No. 34 of 2021 on Combatting Rumours and Cybercrimes and any subsequent UAE regulations governing online activity. You may not:

Misuse or overload the platform, disrupt other users, or harm the infrastructure.
Attempt to reverse-engineer, decompile, or copy any part of the Service.
Upload or generate content that is unlawful, defamatory, harassing, or harmful.
Infringe on intellectual property or privacy rights of others.
Use the Service to develop, train, or improve competing AI systems.
Upload or distribute malicious code, spam, or security exploits.
Circumvent billing, feature limits, or access restrictions.

TatbiQ may, at its sole discretion, remove content, restrict functionality, suspend, or permanently terminate any account found, or reasonably suspected, to be in violation of these Terms, this Policy, or applicable law, without prior notice or refund. TatbiQ's decision on enforcement shall be final. TatbiQ further reserves the right to retain and disclose relevant data to competent authorities to comply with legal investigations or enforcement requests. AI Output and Disclaimers

TatbiQ uses artificial intelligence to generate content, code, and designs ("AI Output") based on user inputs. You acknowledge that AI Output is generated automatically and may include or resemble existing materials, data, or publicly available content. TatbiQ does not claim ownership over the AI Output you generate, but TatbiQ retains all intellectual property rights in the underlying software, algorithms, prompts, models, and systems used to produce such output. TatbiQ makes no representation or warranty that AI Output will be unique, non-infringing, or suitable for any particular purpose. AI outputs generated via TatbiQ are produced by probabilistic models and may include synthetic or third-party content. While we strive for accuracy and reliability, AI Output may contain errors, inaccuracies, or incomplete information. AI Output is provided for informational and creative assistance purposes only. It does not constitute professional advice of any kind, including legal, medical, engineering, or financial advice. You are solely responsible for obtaining appropriate expert review before relying on any AI Output in such contexts. You acknowledge and agree that:

AI Output should be independently reviewed, tested, and validated before use.
TatbiQ is not responsible for how you implement or rely on generated outputs.
AI Output may not be unique and could resemble content generated for other users.
You will not use AI Output in high-risk or sensitive contexts (e.g., medical, legal, or safety-critical systems) without professional review.
You are responsible for validating and ensuring compliance with applicable laws, intellectual property rights, and ethical standards before use or publication.

TatbiQ makes no guarantee regarding the originality, accuracy, completeness, legality, or usefulness of any AI Output. You bear full responsibility for reviewing, testing, and verifying all results before use or publication. To the fullest extent permitted by UAE law, TatbiQ disclaims all liability for any claims, losses, or damages—whether direct or indirect—arising from your use of, or reliance upon, any AI Output. You agree to indemnify and hold TatbiQ harmless from any third-party claims alleging that your use or distribution of AI Output infringes intellectual property or violates applicable law.

Intellectual Property

Platform Ownership. All rights, title, and interest in and to the TatbiQ platform, including its source code, AI models, algorithms, software architecture, user interfaces, documentation, design elements, databases, trademarks, and trade secrets (collectively, "TatbiQ Materials"), are and shall remain the exclusive property of Solutions21 FZCO. Except for the limited right to access and use the Services under these Terms, no intellectual property or other proprietary rights are transferred or licensed to you, whether by implication, estoppel, or otherwise. You shall not copy, reproduce, modify, create derivative works of, or distribute any portion of the TatbiQ Materials.

User-Generated Projects (User Output). You retain ownership of all applications, websites, and other content you independently create using TatbiQ ("User Output"). By using the Services, you grant TatbiQ and its affiliates a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, process, store, display, and reproduce the User Output solely as required to provide, maintain, secure, and improve the Services, and to comply with legal or regulatory obligations. This license continues for as long as your content is hosted or backed up on TatbiQ systems and will persist for a reasonable retention period following account deletion to allow system recovery, audits, and compliance checks.

You represent and warrant that you have obtained all necessary rights and permissions to create and upload such User Output and that your content does not infringe the rights of any third party.

Feedback and Suggestions. You may voluntarily submit ideas, suggestions, or proposals regarding new features or improvements ("Feedback"). By submitting Feedback, you grant TatbiQ an irrevocable, perpetual, worldwide, royalty-free, sublicensable license to use, reproduce, modify, and implement such Feedback for any purpose, without acknowledgment or compensation. TatbiQ shall own all derivative works and developments arising from such Feedback.

Infringement Claims. If you believe any content or material made available through TatbiQ infringes your intellectual property rights, please notify us at support@TatbiQ.ai with sufficient details to identify the allegedly infringing material. TatbiQ may, in its sole discretion, remove or disable access to the material pending review. TatbiQ reserves all rights to seek verification of ownership and to reject unfounded or abusive claims.

Payments, Subscriptions, and Refunds

TatbiQ offers free and paid plans. Prices and payments are denominated in the Gulf Cooperation Council (GCC) currency selected for your workspace - Bahraini Dinar (BHD), UAE Dirham (AED), Kuwaiti Dinar (KWD), Omani Rial (OMR), Qatari Riyal (QAR), or Saudi Riyal (SAR) - unless otherwise stated. You may select or change your workspace's billing currency among these supported currencies at any time before your workspace's first successful paid Stripe payment; use of the free plan or promotional credits alone does not fix this selection. Upon your workspace's first successful paid Stripe payment, the selected currency is permanently locked for that workspace and cannot thereafter be changed. Fees are exclusive of all applicable taxes, including Value Added Tax (VAT) under Federal Decree-Law No. 8 of 2017 and its implementing regulations. VAT will be added where required, and valid tax invoices will be issued electronically through the payment processor or user dashboard. Paid plans renew automatically unless cancelled before the renewal date. TatbiQ may modify subscription pricing, features, or billing frequency by providing prior notice through the user dashboard or registered email. Continued use of the Services after such notice constitutes acceptance of the revised pricing. All fees are displayed in the user dashboard or checkout interface and processed through secure, PCI-compliant third-party providers such as Stripe or any successor payment gateway. You authorize TatbiQ and its payment processors to automatically charge your selected payment method for all applicable fees. If a charge is declined, disputed, or reversed, TatbiQ may immediately suspend or terminate your access until payment is successfully completed. Except where required by law:

All payments are non-refundable once charged.
Subscription cancellations take effect at the next billing cycle.
Failure to pay may result in suspension of access.

All sales are final once payment is processed. TatbiQ is under no obligation to issue refunds or credits except where required by law. Unauthorized chargebacks, payment disputes, or cancellations initiated through your financial institution without prior written notice to TatbiQ may result in immediate account suspension and recovery of associated administrative and legal costs.

Promotional credits or discounts are discretionary and may be modified or withdrawn at any time. Promotional offers, coupons, or credits have no cash value and are valid only for the specified period or plan. TatbiQ charges directly in your workspace's locked GCC currency at TatbiQ's own published price book rates, and no currency conversion is applied at checkout for the supported GCC currencies. Where TatbiQ agrees in writing to invoice or accept payment outside the published price book (for example, under a bespoke Enterprise arrangement in a currency other than your workspace's locked currency), conversion rates and applicable fees for that arrangement shall be determined by the applicable payment provider or financial institution, and TatbiQ shall bear no responsibility for exchange fluctuations or additional charges arising from it.

Privacy and Data Use

TatbiQ collects and processes limited personal data as described in our Privacy Policy. For the purposes of Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data (PDPL), TatbiQ acts as the Data Controller for personal data it collects directly from users and as a Data Processor when processing data on behalf of educational institutions, enterprise clients, or integrated partners. TatbiQ ensures that all processing activities are conducted in accordance with the PDPL and other applicable UAE regulations.

By accessing or using the Services, you expressly consent to the collection, processing, and use of your personal data in accordance with our Privacy Policy and applicable UAE laws. You may withdraw your consent at any time by contacting support@TatbiQ.ai, understanding that withdrawal may affect the functionality or availability of the Services.

Limitation of Liability

The Services and all AI Output are provided on an "as-is" and "as-available" basis, without any warranty of any kind, whether express, implied, statutory, or otherwise. TatbiQ specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy. You acknowledge that you use the Services and rely on any generated output entirely at your own risk.

To the maximum extent permitted under applicable law, including the UAE Civil Code, TatbiQ, its affiliates, employees, and licensors shall not be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, revenues, goodwill, anticipated savings, or data, whether arising in contract, tort (including negligence), or otherwise, even if TatbiQ has been advised of the possibility of such damages.

In all cases, TatbiQ's aggregate liability for any claim, whether arising under contract, tort, or otherwise, shall not exceed the total amount paid by you to TatbiQ for the Services in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms shall exclude or limit liability for gross negligence, fraud, or willful misconduct, where such exclusion is not permitted under UAE law.

Indemnification

You agree to defend, indemnify, and hold harmless TatbiQ (Solutions21 FZCO), its parent and affiliated entities, directors, officers, employees, contractors, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, actions, demands, investigations, liabilities, damages, losses, penalties, judgments, settlements, costs, and expenses (including reasonable legal and expert fees) arising out of or in connection with your use or misuse of the Services, AI Output, or User Output.

Termination and Suspension

You may stop using TatbiQ at any time by cancelling your subscription or deleting your account. TatbiQ may, at its sole discretion and without prior notice, suspend, restrict, deactivate, or permanently terminate your account or access to any part of the Services, with or without cause.

Upon termination, your right to access the Services ends immediately. TatbiQ may retain certain account information, payment records, logs, and backups for a reasonable period following termination as required to comply with legal, tax, and regulatory obligations or to protect TatbiQ's legitimate interests in resolving disputes, enforcing its rights, or conducting audits.

Governing Law and Dispute Resolution

Governing Law: These Terms, and any dispute, claim, or obligation (whether contractual or non-contractual) arising out of or in connection with them, shall be governed by and construed in accordance with the laws of the United Arab Emirates, as applied in the Emirate of Dubai, without regard to conflict-of-law principles.

Jurisdiction: The Parties agree that the courts of the Emirate of Dubai shall have exclusive jurisdiction to hear and determine any dispute or claim arising out of or in connection with these Terms or the use of the Services.

Force Majeure

TatbiQ shall not be liable for any delay or failure in performance of its obligations under these Terms to the extent such delay or failure is caused by events or circumstances beyond its reasonable control, including but not limited to: acts of God, fire, flood, earthquake, explosion, war, terrorism, embargoes, epidemics or pandemics, government restrictions or actions, labor disputes, strikes, civil commotion, national mourning periods, power or internet outages, failure of telecommunications or network infrastructure, unavailability or suspension of third-party APIs, AI model providers, hosting or cloud platforms, or other circumstances of a similar nature.

General Provisions

Entire Agreement. These Terms, together with the Privacy Policy, Acceptable Use Policy, and any other documents expressly incorporated by reference, constitute the entire agreement between you and TatbiQ and supersede all prior understandings, representations, or communications relating to the Services.

No Waiver. No failure or delay by TatbiQ in exercising any right, power, or remedy under these Terms shall operate as a waiver of that right, nor shall any single or partial exercise preclude any further exercise of the same or any other right.

Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent court, the remaining provisions shall continue in full force and effect.
